1.1.       This website is owned and operated by Creators Network India Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at D6/265A, Sector 6, Rohini, Delhi - 110085, India (hereinafter referred to as “Company”/ “Us” / “We” / “Our”,which expression shall unless repugnant to the context or meaning thereof mean and include its successors and assigns) is incorporated with the objective to engage as a digital marketer in India and has represented that it has the requisite capabilities, and has a reach to provide the services agreed to, in an efficient and effective manner (here in after referred to as the “Business”);

1.2.      Company provides the Services (as defined below) available on the Platform (as defined below) to you subject to the following terms and conditions, Our Privacy Policy [https://www.creatorsnetwork.in/privacy-policy]and other terms and conditions, policies and consent forms which you may find throughout Our Platform in connection with Business all of which are deemed to be a part of and included within these terms and conditions (collectively, “Terms and Conditions”).

1.3.       For the purposes of these Terms and Conditions, the “Platform”shall mean and include https://www.creatorsnetwork.in, any successor website, mobile or computer application, any website of a related entity or any other channel facilitated and permitted by Company including but not limited to any digital medium including phone, displays,emails, social media interfaces and messaging interfaces.

1.4.       By accessing or using the Platform, you are acknowledging that you have read, understood, and agreed, without limitation or qualification, to be bound by the Terms and Conditions. This is a legally binding agreement between you (hereinafter referred to as “User” / “You” / “Your”/“Yours”/ “Subscribers”) and the Company and all its related entities, establishing the terms and conditions under which the Platform may be used/accessed. IF YOU DO NOT AGREE TO THE TERMS OF US, YOU MAY NOT USE THIS PLATFORM.

(e)    Search Engine Optimization, Search Engine Marketing, Social Media Marketing, Content Marketing, Email Marketing, Programmatic Media Buying for Digital Campaigns, Video Campaigns

the above said services shall be referred as “Services”.

3.2.       We have the right, but not the obligation, to take any of the following actions in Our sole discretion at any time and for any reason without giving You any prior notice:

a.      Restrict, suspend or terminate Your access to all or any part of Our Services.

b.      Change, suspend or discontinue all or any part of Our Services.

c.      Refuse, move or remove any material that You submit to Our Platform for any reason.

d.      Refuse, move, or remove any content that is available on Our Platform.

e.      Deactivate or delete Your accounts and all related information and files in Your account.

f.       Establish general practices and limits concerning use of Our Platform.

4.7.       Services are available only at the discretion of Company and its related entities and may be withdrawn or amended at any time without notice.

5.             NO REPRESENTATIONS AND WARRANTIES

5.1.       This Platform may contain advice / opinions and statements of various persons including but not limited to other Users. Reliance on these statements shall be at User’s own risk. It is the responsibility of the User to independently verify and evaluate the accuracy, completeness, reliability and usefulness of any opinions,services or other information provided by any other Users and/or third parties on the Platform.

5.2.       Company may at any time(without being obliged to do so) update, edit, alter and/or remove any Content in whole or in part that may be available on the Platform and shall not be held responsible for all or any actions that may subsequently result in any loss,damage and or liability.

5.6.       Company is in no manner whatsoever responsible and/or shall not be held liable, for any physical injury, death, mental trauma caused to User in any manner whatsoever,in relation to usage of the Services.

6.             DISCLAIMER OF LIABILITY

7.1         This Platform is provided by Company on an “as is” basis, without warranty of any kind, either expressed or implied. In particular, no warranty regarding accuracy, completeness, non- infringement, security, accuracy, fitness for a purpose or freedom from computer viruses is given in connection with such information and materials. All data and information contained on this Platform are given strictly for informational purposes. Under no circumstances,including, but not limited to, negligence, shall Company be liable for any damages, including special or consequential damages, that result from the access or use of, or the inability to access or use of, the materials on this Platform. The Company does not verify any data and disclaims any obligation to do so.

7.             ADVERTISEMENTS

Advertisements presented on the Platform are solely the responsibility of the party from whom the ad originates. Neither Company nor any of its data licensors endorses or is responsible for the content of any advertisement or any goods or services offered therein.

8.             THIRD PARTY SERVICES

9.5.       The photos and videos shown on the Platform were taken by photographers and videographers commissioned by Company, courtesy of our direct and indirect clients, and were chosen to highlight Company’s part in our clients’ projects and to place it in context. While care has been taken to select the most appropriate photos and videos, no implication is intended that all elements in the projects shown in the photos and videos were done by Company.

10.         USAGE

10.1.   In addition to other prohibitions as set forth in these Terms and Conditions, You understand and agree that You are prohibited from using the Platform, Services or any Content:

(i)            for any unlawful purpose;

(ii)          to solicit others to perform or participate in any unlawful acts;

(iii)         to violate any international, federal, provincial or state regulations,rules, laws, or applicable ordinances;

(iv)         to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

(v)          to harass, abuse, insult, harm, defame, slander, disparage, intimidate,or discriminate based on gender, sexual orientation, religion, ethnicity, race,age, national origin, or disability;

(vii)       to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Platform;

(viii)      to collect or track the personal information of others;

(ix)         to spam, phish, pharm, pretext, spider, crawl, or scrape;

(x)           for any obscene or immoral purpose; or

(xi)         to interfere with or circumvent the security features of the Platform.

10.2.    We reserve the right to terminate Your access to the Platform for violating any of the above prohibited uses.

11.         FRAUDULENT/DECLINED TRANSACTIONS

Company reserves the right to recover the cost of products and services and any costs and expenses associated with collecting such costs (including lawyers fees) from persons using the Platform fraudulently. In addition to any other rights or remedies available to Company by applicable law, Company reserves the right to initiate legal proceedings against such persons for fraudulent use of the Platform and any other unlawful acts or acts or omissions in breach of these Terms and Conditions.

You understand that by using this Platform or any Services provided on the Platform, You may encounter Content that may be deemed by some to be offensive,indecent, or objectionable, which Content may or may not be identified as such.You agree to use the Platform and any service at Your sole risk and that to the fullest extent permitted under applicable law, Company and its affiliates shall have no liability to You for Content that may be deemed offensive, indecent, or objectionable to You.

COMPANY, ITS DIRECTORS AND EMPLOYEES ACCEPT NO LIABILITY AND WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING DIRECTLY OR INDIRECTLY (INCLUDING SPECIAL, INCIDENTAL OR CONSEQUENTIAL,PUNITIVE, OR EXEMPLARY LOSS, DAMAGE OR EXPENSES) FROM YOUR USE OF THE PLATFORM OR ANY LINKED SITE OR INABILITY TO USE BY ANY PARTY, HOWSOEVER ARISING, AND INCLUDING ANY LOSS, DAMAGE OR EXPENSE ARISING FROM, BUT NOT LIMITED TO, ANY DEFECT, ERROR, OMISSION, INTERRUPTION, IMPERFECTION, FAULT, MISTAKE OR INACCURACY WITH THE PLATFORM, ITS CONTENTS OR ASSOCIATED SERVICES, OR DUE TO ANY INACCESSIBILITY OF THE PLATFORM OR ANY PART THEREOF OR ANY CONTENTS OR ASSOCIATED SERVICES EVEN IF THE USERS ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES.

15.1.    The Platform may contain links to other websites of affiliate companies or related entities of Company or to external websites, having further linked websites,controlled or offered by third parties (non-affiliates of Company), in order to help You find relevant websites which may be of interest to You, quickly and easily.

15.2.    The contents displayed or products/services offered on such linked websites or any quality of the products/services are not endorsed, verified or monitored by Company or its related entities.

15.3.    Company and its related entities are also not responsible for the owners or operators of such external links or websites or for any products or services they supply or for the contents of their websites and do not give or enter into any conditions, warranties, express or implied; or other terms or representations in relation to any of these or accept any liability in relation to any of these (including any liability arising out of any claim that the content of any external websites to which this website includes a link infringes the intellectual property rights of any third party).

16.         GOVERNING LAW

16.1.    The Platform and these Terms and Conditions shall be governed by and construed in accordance with all applicable laws of India, which include all applicable Indian statutes, enactments, acts of the state legislature or parliament, laws, ordinances, rules, bye-laws, regulations,notifications, guidelines, directions, directives and orders of any Governmental Authority, statutory authority, board, as may be applicable and in each case, any implementing regulation or interpretation issued thereunder including any successor applicable law, unless stated otherwise. All disputes arising out of or in connection with these Terms and Conditions or use of the Platform shall be submitted to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

17.3.    Company or any of its related entities/affiliates shall not be held responsible for all or any actions that may subsequently result in any loss, damage and or liability on account of such change in the information on the Platform.

18.         ENTIRE AGREEMENT

18.1.    Unless otherwise specified herein, these Terms and Conditions along with the Privacy Policy constitute the entire agreement between the User and Company with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and Company.

18.2.    A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this document to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

19.         NO WAIVER

19.1.    Company or its related entities shall not be deemed to have waived any of its/their rights or remedies hereunder, unless such waiver is in writing. No delay or omission on the part of the Company, in exercising any rights or remedies shall operate as a waiver of such rights or remedies or any other rights or remedies. A waiver on any one occasion shall not be construed as a bar or waiver of any rights or remedies on future occasions.

20.         SEVERABILITY

20.1     In the event any of these Terms and Conditions shall be held to be invalid, void,illegal or unenforceable, such terms and conditions shall be deemed to be deleted and the remainder of these terms and conditions shall continue in full force and effect.
